These Terms of Use ("Terms") outline your rights, responsibilities, and the rules governing your access to and use of the Brolyz platform. By using Brolyz, you acknowledge that you have read, understood, and agree to comply with these Terms.

We encourage you to review these Terms carefully. Your cooperation helps us maintain a supportive, interactive, and financially connected community for everyone.

1. GENERAL PROVISIONS

1.1. These Terms of Use ("Terms") constitute a binding legal agreement between you ("User") and Brolyz regarding the use of the platform. Your access to and use of Brolyz are conditional upon your acceptance of and compliance with these Terms.

1.2. Brolyz is a social media platform designed to enable users to create, share, and interact with various forms of content.

1.3. Brolyz reserves the right to modify these Terms at any time. Any changes will take effect upon their publication on the platform. Users are encouraged to review the Terms periodically. In the event of significant updates, Brolyz will provide prior notice through appropriate channels, such as email notifications or in-app alerts.

2. BROLYZ SERVICE

Brolyz is an innovative platform redefining the social media experience by seamlessly integrating communication, sharing, and financial services into a comprehensive digital ecosystem. Our goal is to simplify both the social and financial aspects of life, empowering individuals and communities globally.

2.1. Brolyz Wallet, Trade & Financial Operations

Brolyz offers an integrated digital wallet ("Brolyz Wallet") that enables eligible users to deposit supported digital assets, trade supported spot pairs through Brolyz Trade, participate in Launchpad events, and, where applicable, perform in-app financial interactions. The custody of digital assets is securely provided through Fireblocks, while all technical infrastructure, settlement processes, and operational integrations between Brolyz and Fireblocks are developed and managed by Ortachain. Trade execution for supported pairs are provided through Gibi Swap, with settlement processed by Ortachain.

Use of the Brolyz Wallet is subject to additional rules and restrictions:

• Brolyz Trade is available to eligible users for spot trading in supported USDT pairs. Trading activity requires acceptance of the Brolyz Trade Terms but does not require KYC, 2FA, or OTP. All withdrawals (including withdrawals of trading gains) require full KYC, 2FA, and OTP verification.

• The Wallet is currently available only to users accessing the application in English.

• Users located in the United States (US) and United Arab Emirates (UAE) are prohibited from using deposit, withdrawal, or any wallet-based features. Brolyz Trade and Launchpad are additionally unavailable in the United Kingdom (UK), and the Rewards Hub is additionally unavailable in Belgium and the Netherlands. Section 3.1 sets out the full eligibility table.

• KYC verification, Two-Factor Authentication (2FA), and OTP confirmation are mandatory for all withdrawal operations and internal value transfers.

• Users who deposit assets but fail to complete KYC and 2FA will not be able to withdraw or transfer funds.

• These rules also apply to wallet-based features, including tipping.

3. WHO CAN USE BROLYZ?

Brolyz is committed to providing an inclusive and equitable experience for all users. You must be at least 16 years old to create an account and use Brolyz. By using the platform you confirm that you meet this requirement.

Where the law applicable to you sets a higher minimum age for the use of an online platform or for any specific feature, that higher age applies to you.

Certain features or services offered by Brolyz may require users to meet specific eligibility criteria, such as age or legal consent. Any such requirements will be clearly outlined in the terms governing those services.

Brolyz may remove or restrict accounts that do not meet this requirement. Where a change to eligibility affects existing accounts, users will be notified in advance and given the opportunity to comply.

3.1 Feature Eligibility

Access to certain Brolyz features is limited by region, language, and verification status. The table below is the authoritative source. Where a feature policy states an eligibility rule, it must match this table.

Identity verification, two-factor authentication, and OTP confirmation are required only for withdrawals from the Brolyz Wallet. No other feature requires them.

Trading on Brolyz Trade additionally requires acceptance of the Brolyz Trade Terms in the application before your first trade. The full operational rules are set out in the Trade Policy.

Users who do not meet the eligibility requirements for a feature may continue to use the rest of the platform.

4. ACCOUNT SECURITY

To access Brolyz services, you may be required to create an account. It is your responsibility to provide accurate and complete information during account creation. Below are the guidelines for maintaining your account's security and Brolyz's approach to safeguarding user accounts:

4.1 Protecting Your Account Information

• Keep your account credentials (e.g., password, recovery key, contact details) confidential and secure.
• Use a strong, unique password that is difficult to guess.
• Avoid sharing your password with others or storing it in unsecured locations.
• Ensure your computer or mobile devices are protected from unauthorized access or malware.

4.2 Detecting Unauthorized Access

If you notice unusual activity on your account, such as unauthorized login attempts or changes you did not initiate, immediately:

• Change your password.
• Notify Brolyz via the support channels provided.

• Brolyz may proactively notify you via your registered contact details if suspicious activity is detected. However, this does not imply Brolyz assumes responsibility for resolving all issues.

4.3 Keeping Your Information Accurate and Up-to-Date

• Ensure your contact information, including your email address and phone number, is accurate and current.
• Failure to maintain up-to-date contact details may prevent Brolyz from notifying you about important account activities or security concerns.

4.4 Brolyz's Responsibility

• While Brolyz employs advanced security measures to protect user accounts, the ultimate responsibility for securing your account rests with you.
• Brolyz may reach out to users regarding suspicious activity but is not liable for damages, data loss, or unauthorized access resulting from user negligence.

4.5 Additional Security Recommendations

• Enable additional security features, such as two-factor authentication, if offered by Brolyz.
• Avoid accessing your account on unsecured public Wi-Fi networks.
• Monitor your account activity regularly to identify and address potential risks promptly.

5. MISUSE OF BROLYZ SERVICES

Brolyz is committed to providing a platform that is safe, respectful, and transparent for all users. Any unethical, illegal, or disruptive use of our services is strictly prohibited. The following guidelines outline prohibited activities and the actions Brolyz may take in response to violations.

5.1 Prohibited Activities

The following actions are strictly prohibited on Brolyz:

• Illegal Activities: Engaging in activities such as fraud, identity theft, or copyright infringement.
• Malicious Software or Harmful Practices: Distributing viruses, harmful code, or attempting to disrupt the platform's functionality.
• Harassment and Incitement to Violence: Sharing content that threatens, harasses, or incites violence against others.
• Unauthorized Data Collection: Collecting user information without explicit consent or using automated methods to access Brolyz services.
• Manipulation and Deception: Creating spam, fake accounts, misleading content, or engaging in activities that manipulate communities.
• Market Abuse and Trade Manipulation: Engaging in spoofing, layering, wash trading, pump-and-dump activity, front-running based on non-public information, cross-account collusion to influence price or liquidity, exploitation of technical or pricing errors, or any other behavior intended to manipulate or distort trading on Brolyz. 
• Automated Trading and API Access: Brolyz Trade does not provide programmatic API access for trading. The use of bots, scripts, headless browsers, or any automated systems to interact with Brolyz Trade is prohibited.

5.2 Brolyz's Rights in Case of Violations

To maintain a safe and fair environment, Brolyz reserves the following rights in response to misuse:

• Account Suspension or Termination: Accounts violating these principles may be suspended or permanently terminated without prior notice.
• Legal Action: In cases involving illegal activities, Brolyz may refer the matter to relevant legal authorities.
• Content Removal: Any content that violates community guidelines or legal standards may be removed after review.
• Access Restrictions: Brolyz may impose limitations or restrictions on services for accounts found engaging in misuse.

5.3 Reporting Misuse

Brolyz encourages users to report any suspected misuse of the platform. Reports can be submitted through:

Brolyz treats all reports seriously and will take appropriate action to address verified violations.

5.4 User Responsibility

6. ACCOUNT TERMINATION AND SERVICE RESTRICTION

Brolyz reserves the right to impose sanctions on user accounts, including termination or access restriction, to maintain the security, integrity, and functionality of our platform. The following outlines the conditions and processes related to account termination and service restriction:

6.1 Grounds for Account Termination or Restriction

Your account may be terminated, or your access restricted under the following circumstances:

• Violation of Terms of Use: Breaching the Brolyz Terms of Use, Community Guidelines, or any other relevant policies.
• Noncompliance with Laws and Regulations: Engaging in activities that violate applicable laws, including fraud, intellectual property infringement, or malicious behavior.
• Platform Security and Functionality: Conducting activities that compromise the platform's security, disrupt its technical infrastructure, or negatively impact other users.
• Unauthorized Use: Using your account on behalf of another individual or entity without proper authorization.
• Necessary Measures: Actions deemed necessary to protect Brolyz’s commercial interests, operational requirements, or community values.

6.2 Discretionary Authority

To the extent permitted by law, Brolyz reserves the right to terminate accounts or restrict access to services at its sole discretion, even for reasons not explicitly listed above. While we strive to provide advance notice of account actions, exceptions may occur in cases of emergencies, technical issues, or potential legal risks.

6.3 Data and Content Access After Termination

• Loss of Access: If your account is terminated or restricted, you may lose access to data or content stored in your account. Users are advised to regularly back up important content to prevent data loss.
• Retention of Data: Brolyz retains the right to store certain information, as permitted by applicable laws, even after account termination. This may include data required for legal compliance, dispute resolution, or fraud prevention.
• Request for Data: In some cases, terminated users may contact Brolyz to request a copy of their stored data, subject to legal and technical constraints.

7. USERNAME POLICY

At Brolyz, we are committed to ensuring that usernames respect the legal and personal rights of all individuals. Users must comply with intellectual property, copyright, and trademark laws when selecting a username.

7.1 Protection of Intellectual Property in Usernames

• Usernames must not infringe upon registered trademarks, copyrighted materials, or any other legal rights.
• Trademark owners who believe their trademarks are being used without authorization may report the issue to Brolyz through the support channels provided.

7.2 Trademark Claims

Upon receiving a valid request from a trademark owner, Brolyz may:

• Remove the username in question.
• Transfer the username to the trademark owner, if deemed appropriate.

7.3 Misleading and Impersonating Usernames

• Usernames that are misleading, impersonate others, or infringe on trademarks are strictly prohibited.
• Brolyz reserves the right to:
  • Request the user to change the username.
  • Suspend or terminate the account.
  • Transfer the username to the rightful party, when justified.

7.4 Legal Consequences

• Users found to be infringing on intellectual property or trademark rights may face legal action under applicable laws.
• Brolyz may cooperate with legal authorities to assist in the resolution of such cases.

7.5 Commitment to a Secure and Fair Platform

Brolyz prioritizes the protection of intellectual property and the rights of all users. By adhering to this Username Policy, users contribute to maintaining a secure, fair, and inclusive platform for everyone.

7.6 Username Technical Standards

• Usernames must be between 7 and 20 characters long.
• Usernames may contain only Latin letters (A–Z, a–z). Special characters from other languages (e.g., ı, ş, ü, ö, ç, ğ) are not supported.
• Usernames may contain numbers but cannot start with a number.
• Only dot (.) and underscore (_) are allowed as special characters.
• Usernames cannot contain spaces.
• Usernames are case-insensitive (e.g., Brolyz and brolyz are treated as the same).
• Consecutive dots (..), consecutive underscores (__), or a combination of dot and underscore (. or .) cannot be used at the beginning or end of a username.

8. PUBLIC FIGURES AND CONTENT SHARING

Brolyz is committed to ensuring ethical and legal compliance when using usernames or sharing content related to public figures, such as artists, athletes, politicians, and other well-known individuals. The following policies apply:

8.1 Use of Public Figures' Names in Usernames

• Impersonation Prohibited: The names of public figures cannot be used in usernames to impersonate or create misleading impressions of their identity.
• Fan Accounts: If creating a fan account for a public figure, it must be clearly labeled (e.g., “[Artist Name] Fan Page”).
• Violations: Deceptive or impersonating usernames may result in username changes, account suspension, or termination.

8.2 Sharing Content Related to Public Figures

• Respect for Rights: Content related to public figures must respect copyright, privacy, and personality rights.
• Publicly Available Content: Content such as official press photos or material shared publicly by the figures themselves may be used, provided proper attribution is included.
• Private Life: Content concerning the private lives of public figures must not be shared, as it may violate privacy rights.

8.3 Trademark and Copyright Protection

• Authorization Required: The names or images of public figures protected under trademark or copyright laws cannot be used without proper authorization.
• Actions for Violations: In cases of trademark or copyright infringement, Brolyz may remove the content and take action against the account.

8.4 Complaints and Requests

• Reporting Mechanism: Public figures or their representatives can report concerns about usernames or content through Brolyz's support channels.
• Review Process: After review, Brolyz may:
  • Change usernames.
  • Remove violating content.
  • Suspend or terminate accounts, if necessary.

8.5 Legal Consequences

• Accountability: Unauthorized use of public figures' names or content may lead to legal consequences.
• Cooperation with Authorities: Brolyz is committed to cooperating with legal authorities in such cases.

9. ACCOUNT DEACTIVATION AND DELETION

Brolyz is committed to respecting user rights regarding their accounts and ensuring transparency in the management of account deactivation or deletion requests.

Users may choose to temporarily deactivate their accounts, during which:

• Their profiles, content, and connections will no longer be visible on the platform.
• Accounts can be reactivated by logging in within a specified timeframe (details provided in future updates).
• Brolyz reserves the right to define additional rules or conditions regarding the retention of deactivated accounts.

9.2 Account Deletion

Users may request the permanent deletion of their accounts. Upon submission of such a request:

• Brolyz will verify the request to ensure its authenticity.
• The timeframe for completing the deletion process will align with applicable laws and future internal policies.
• Certain data may be retained for legal or compliance purposes, as required by applicable regulations.

9.3 Flexibility for Future Updates

As Brolyz continues to evolve, policies regarding account deactivation and deletion, including timeframes and specific processes, may be updated. Users will be notified of any significant changes to these policies.

10.1 General Information

Brolyz does not endorse, approve, or guarantee the accuracy, completeness, validity, or reliability of any content, opinions, or communications shared by users on the platform. All content expressed on Brolyz reflects the views of individual users and does not represent the official stance or position of Brolyz.

10.2 Disclaimer of Liability

• Brolyz is not responsible for verifying the accuracy, legality, or reliability of user-generated content.
• The platform assumes no liability for any damages, losses, or legal issues resulting from misleading, incorrect, or incomplete content shared by users.

10.3 User Responsibility

• Users are fully accountable for the content they create, share, or transmit on Brolyz.
• Any legal or regulatory violations arising from user-generated content are the sole responsibility of the user involved.

10.4 Content Review

• While Brolyz strives to maintain a safe and ethical platform, it does not guarantee the constant monitoring or moderation of all content shared by users.
• Users are encouraged to critically evaluate and independently verify any content before acting on it.

10.5 No Investment Advice and Trading Risk

• No content shared on Brolyz, including content published by other users, by Brolyz, or by any of Brolyz's infrastructure partners, should be interpreted as financial, investment, tax, or legal advice. 
• Trading digital assets is highly speculative and involves substantial risk, including the risk of total loss. Digital asset prices are volatile, liquidity is not guaranteed, and users may experience slippage, partial execution, or temporary unavailability of certain trading pairs. 
• Past performance is not indicative of future results. 
• Users should seek independent professional advice before making any financial or investment decisions and are solely responsible for the tax and reporting obligations of their jurisdiction. 
• Brolyz does not guarantee the accuracy or reliability of any financial information shared on the platform and does not act as a fiduciary, investment adviser, or broker on behalf of users.

11. LICENSE AND CONTENT USAGE RIGHTS

i. License to Use Brolyz Services

Brolyz grants users a personal, worldwide, royalty-free, non-transferable, and non-exclusive license to use the platform under the following conditions:

• The license is solely for personal use to benefit from Brolyz's features and services.
• Users may utilize the content and features provided on the platform for lawful purposes only.

This license cannot be transferred, sold, gifted, or shared without explicit written permission from Brolyz. Actions such as reverse-engineering, creating derivatives, decompiling, or attempting to access Brolyz's software unlawfully are strictly prohibited without prior written consent.

ii. Content Usage and Intellectual Property Rights

• Your Content: Any original content you create or share on Brolyz (e.g., text, designs, videos, audio) remains your intellectual property.
• License to Brolyz: By sharing content on Brolyz, you grant the platform a worldwide, royalty-free license to:
  • Use, copy, modify, distribute, and display your content for the purposes of promoting, enhancing, and improving Brolyz.
  • Analyze your content in anonymized form for operational purposes, including integration with generative AI systems.

iii. Use of Brolyz Intellectual Property and Trademarks

• Brolyz retains all rights to its intellectual property, including designs, logos, text, software, and other brand assets.
• Users may not use Brolyz's brand assets without explicit written authorization.

iv. Access and Removal of User Content

Brolyz reserves the right to modify or remove user-generated content in the following cases:

• The content violates applicable laws or spreads harmful or misleading material.
• The content infringes on intellectual property rights.
• The content promotes behaviors that conflict with community guidelines.

11.2 Feedback and Suggestions

Any feedback, suggestions, or comments you provide to improve Brolyz are entirely voluntary. Brolyz reserves the right to use, modify, or implement such feedback without any obligation to compensate or credit the user.

• The right to request deletion of personal data, subject to legal obligations.

13. RIGHTS REGARDING UPDATES TO BROLYZ TERMS OF USE

Brolyz periodically reviews and updates its Terms of Use to ensure a safe, fair, and transparent experience for all users. The following outlines Brolyz's rights, user notifications, and the responsibilities related to such updates:

• The Terms of Use define the core rules governing Brolyz services and user activities.
• Updates may be made in response to:

  • Service enhancements or the introduction of new features.

• Brolyz reserves the right to make necessary changes to these terms without requiring prior user approval.

• In the event of disputes, the most recent version of the Terms of Use will prevail.

i. Regular Monitoring

• Users are responsible for regularly reviewing the Terms of Use for updates.
• Failure to review updates does not absolve users from complying with the updated terms.

ii. Adherence to Rules

• Users must comply with the updated terms to continue accessing Brolyz services.
• Accounts violating the terms may face restrictions, suspension, or termination.

14. REWARDS AND PROMOTIONAL FEATURES

14.1 Scope

Brolyz may from time to time offer promotional features that allow users to collect in-platform units and receive rewards. The Brolyz Rewards Hub is such a feature. These features are promotional in nature. They are not financial services, investment products, or games of chance offered for a stake.

14.2 In-Platform Promotional Units

In-platform promotional units, including Diamonds, are not money, electronic money, securities, or crypto assets. They carry no monetary value outside the feature in which they are used, cannot be purchased directly, cannot be withdrawn or exchanged for fiat currency, cannot be transferred between accounts, and confer no ownership right or claim against Brolyz.

14.3 Randomized Reward Distribution

Where a promotional feature distributes rewards on a randomized basis, Brolyz publishes the possible contents, value ranges, and probabilities for each reward type before the user commits any in-platform unit. Each distribution event is independent. Brolyz does not guarantee any particular outcome.

14.4 Eligibility

Promotional features may be restricted by region, by language, by account status, and by age. Eligibility requirements applicable to a specific feature are set out in the policy governing that feature and summarised in section 3.1. Attempting to bypass an eligibility restriction, including through the use of a VPN or proxy, is a violation of these Terms.

14.5 Fair Use

The use of multiple accounts, automation, or any other means to obtain rewards other than through normal individual use of the feature is prohibited. Where Brolyz identifies such conduct, Brolyz may cancel affected balances and rewards, reverse or freeze reward-derived assets, and suspend or terminate the account in accordance with section 6.

14.6 Changes and Discontinuation

Brolyz may change, suspend, or discontinue any promotional feature at any time. Where a change materially reduces the value of units already held by users, Brolyz will provide advance notice in accordance with section 13.2 and will state the effective date.

14.7 Taxes

Users are responsible for determining and meeting any tax or reporting obligations arising from rewards received, under the laws of their jurisdiction. Brolyz does not provide tax advice.

14.8 Applicable Policies

The Brolyz Rewards Hub is governed by the Rewards Hub Policy. Assets credited to a user's Brolyz Wallet through a promotional feature are governed by the Wallet Policy. In the event of conflict, these Terms prevail.

15. GOVERNING LAW AND DISPUTES

15.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict of law rules.

15.2 Venue

The courts of the Dubai Multi Commodities Centre (DMCC) free zone have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

15.3 Mandatory Local Rights

Where you are a consumer resident in a jurisdiction whose law grants you rights that cannot be excluded by agreement, nothing in this section removes those rights or your ability to bring proceedings in the courts of your place of residence.

15.4 Informal Resolution First

Before starting formal proceedings, please contact us at support@brolyz.com with a description of the issue. We will attempt to resolve the matter within 30 days of receiving your notice.

16. DISCLAIMERS AND LIMITATION OF LIABILITY

16.1 Service Provided As Is

Brolyz is provided on an "as is" and "as available" basis. To the extent permitted by law, Brolyz does not warrant that the platform will be uninterrupted, error free, or free of harmful components.

16.2 Limitation

To the maximum extent permitted by applicable law, Brolyz is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the platform.

16.3 Cap

To the maximum extent permitted by applicable law, and except as set out in sections 16.4 and 16.5, Brolyz's total liability arising out of or in connection with these Terms is limited to the greater of the amounts you paid to Brolyz in the twelve months preceding the event giving rise to the claim, or USD 100.

16.4 Assets Held in the Brolyz Wallet

The limit in section 16.3 does not apply to a claim for the value of digital assets credited to your Brolyz Wallet and held by Brolyz on your behalf. Brolyz remains responsible for those assets in accordance with applicable law.

16.5 What This Does Not Limit

Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable law. Nothing in this section affects the rights of a consumer that cannot be excluded by agreement.

16.6 Digital Asset Risk

Digital asset values are volatile and Brolyz does not guarantee the value of any asset held, traded, or received on the platform. Section 10.5 and the Brolyz Trade Policy set out the risks in detail.

17. INDEMNITY

You agree to indemnify Brolyz against claims, losses, and reasonable costs arising from your breach of these Terms, your violation of applicable law, or content you post, to the extent those claims result from your acts or omissions. Brolyz will notify you of any such claim and will not settle it without your consent, which you will not unreasonably withhold.

18. FORCE MAJEURE

Brolyz is not liable for any failure or delay in performing its obligations caused by events beyond its reasonable control, including natural events, war, civil unrest, industrial action, failure of third-party infrastructure or network providers, and changes in law or regulatory action.

19. GENERAL

19.1 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and the invalid provision is replaced by a valid provision that most closely reflects its intent.

19.2 No Waiver

A failure by Brolyz to enforce any provision of these Terms is not a waiver of that provision or of any other provision.

19.3 Assignment

You may not assign or transfer your rights under these Terms without Brolyz's prior written consent. Brolyz may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets, on notice to you.

19.4 Entire Agreement

These Terms, together with the policies referenced in them, are the entire agreement between you and Brolyz regarding the platform and replace any prior understanding on the same subject.

19.5 Language

These Terms are written in English. Any translation is provided for convenience only and the English version is the binding text.
